Director Succession and Recruitment Update

In accordance with the Toromont Board of Directors Retirement Policy, Jeffrey Chisholm is scheduled to retire from the Board in 2025. As the Board plans for Mr. Chisholm's retirement, it is actively engaged in efforts to recruit a new Board member. The Board commits to appointing a qualified candidate with a racially or ethnically diverse background by the 2025 annual meeting of shareholders. It has retained a search firm with expertise in diverse director searches to assist in meeting its objectives.
